Terms of Service

Please read these terms carefully before using our website or engaging our services.

1. Acceptance of Terms

By accessing or using the Magie Luxe by Rayaan Enterprise Ltd website (the "Site") and our AI automation services (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Site or Services. These Terms constitute a legally binding agreement between you and Magie Luxe by Rayaan Enterprise Ltd.

2. Description of Services

Magie Luxe by Rayaan Enterprise Ltd provides custom AI automation solutions for small and medium businesses. Our Services include building, hosting, maintaining, and managing AI agents using platforms such as Make.com and OpenAI. The specific scope of services is defined in your individual service agreement or onboarding documentation.

3. Eligibility

You must be at least 18 years of age and have the legal authority to enter into contracts to use our Services. By using our Services, you represent and warrant that you meet these requirements.

4. Account & Registration

To access certain Services, you may be required to provide accurate, current, and complete information during the onboarding or registration process. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

5. Payment & Billing

  • All fees are quoted in Canadian Dollars (CAD) unless otherwise specified.
  • Subscription fees are billed monthly in advance unless otherwise agreed in writing.
  • Setup fees, where applicable, are due upon commencement of the project.
  • Payments are non-refundable except where required by law or as explicitly stated in your service agreement.
  • We reserve the right to suspend or terminate Services for non-payment after a 7-day grace period.

6. Service Level & Availability

While we strive for 99.9% uptime for our managed services, we do not guarantee uninterrupted access. Scheduled maintenance, third-party platform issues (e.g., Make.com, OpenAI), and unforeseen circumstances may result in temporary service interruptions. We will provide reasonable notice of scheduled maintenance where possible.

7. Intellectual Property

  • All content, branding, and materials on the Site are the property of Magie Luxe by Rayaan Enterprise Ltd and protected by intellectual property laws.
  • You retain ownership of your business data and information shared with us for the purpose of building your AI agents.
  • The automation workflows, configurations, and methodologies we develop remain our intellectual property, licensed to you for the duration of your active subscription.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement. This includes business processes, customer data, and technical configurations. Confidentiality obligations survive termination of the agreement for a period of 2 years.

9. Limitation of Liability

To the maximum extent permitted by law, Magie Luxe by Rayaan Enterprise Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services. Our total liability for any claim shall not exceed the total amount paid by you to us in the 12 months preceding the claim.

10. Termination

  • You may cancel your subscription at any time with 30 days' written notice.
  • We may terminate this agreement immediately if you breach these Terms or engage in unlawful activities.
  • Upon termination, your access to managed services will cease, and we will provide your data in a standard export format within 30 days where feasible.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on the Site. Your continued use of the Site or Services after changes are posted constitutes your acceptance of the revised Terms.
